  <h2>1. Overview</h2>
  <p>ReplyMind ("we", "us", "our") is a product of <strong>TIGERBESTBRANDS LLC</strong>, a company registered in the State of Wyoming, United States. ReplyMind provides an AI-powered email and messaging reply assistant delivered as a Google Chrome browser extension (the "Service").</p>
  <p>These Terms of Service ("Terms") govern your use of the ReplyMind Chrome extension, our website at <a href="https://www.replymind.xyz">www.replymind.xyz</a>, and any related services, features, or content we provide.</p>

  <h2>2. Eligibility</h2>
  <p>You must be at least 13 years of age to use ReplyMind. By using our Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.</p>

  <h2>3. Account Registration</h2>
  <p>Some features of ReplyMind require you to create an account. When you create an account, you agree to:</p>
  <ul>
    <li>Provide accurate, current, and complete information</li>
    <li>Maintain the security of your password and account credentials</li>
    <li>Promptly update your account information if it changes</li>
    <li>Accept responsibility for all activities that occur under your account</li>
  </ul>
  <p>We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.</p>

  <h2>4. Description of Service</h2>
  <p>ReplyMind is a Chrome extension that generates AI-powered reply suggestions for emails in Gmail and messages on LinkedIn. Key features include:</p>
  <ul>
    <li>Intent-based reply generation (Accept, Decline, Schedule, etc.)</li>
    <li>Personalized tone profiling to match your communication style</li>
    <li>Context detection to identify email type (sales inquiry, complaint, etc.)</li>
    <li>Automatic language matching</li>
    <li>Contact memory and follow-up reminders (on paid plans)</li>
    <li>One-click reply insertion into Gmail compose windows</li>
  </ul>
  <p>ReplyMind uses third-party AI services (currently OpenAI) to generate reply suggestions. While we strive for accuracy, generated replies are suggestions only. <strong>You are solely responsible for reviewing, editing, and approving any reply before sending it.</strong></p>

  <h2>5. Free and Paid Plans</h2>
  <h3>5.1 Free Plan</h3>
  <p>The Free plan provides 15 replies at no cost and remembers one contact. No credit card or payment information is required. The Free plan includes limited features as described on our pricing page.</p>

  <h3>5.2 Paid Subscriptions</h3>
  <p>ReplyMind offers a Pro subscription with enhanced features. By subscribing, you agree to pay the applicable subscription fees displayed at the time of purchase.</p>
  <ul>
    <li><strong>Pro:</strong> $19/month or $180/year</li>
  </ul>
  <p>Prices are in US dollars (USD) and may be subject to applicable taxes depending on your jurisdiction.</p>

  <h3>5.3 Billing Cycle</h3>
  <p>Subscriptions are billed on a recurring basis — either monthly or annually, depending on your chosen billing cycle. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.</p>

  <h2>6. Payment Processing</h2>
  <p>Payments are processed by Paddle, our authorised Merchant of Record. We do not directly collect, store, or have access to your full credit card number, bank account details, or other financial information. Paddle handles payment data under its own terms and privacy policy.</p>
  <p>By providing your payment information, you authorize us (and our payment processors) to charge the applicable subscription fee to your chosen payment method on a recurring basis until you cancel.</p>

  <h2>7. Cancellation</h2>
  <p>You may cancel your subscription at any time. Upon cancellation:</p>
  <ul>
    <li>You retain access to your paid plan features until the end of your current billing period</li>
    <li>Your account will automatically downgrade to the Free plan at the end of the billing period</li>
    <li>No further charges will be made after the current billing period ends</li>
  </ul>
  <p>To cancel, follow the instructions provided by your payment processor, or contact us at <a href="mailto:hello@replymind.xyz">hello@replymind.xyz</a> for assistance.</p>

  <h2>8. Refunds</h2>
  <p>Please refer to our <a href="refund.html">Refund Policy</a> for detailed information about our refund practices. In summary:</p>
  <ul>
    <li>We offer a full refund within 14 days of your initial subscription purchase if you are unsatisfied</li>
    <li>Refunds for renewal payments are handled on a case-by-case basis</li>

  </ul>

  <h2>9. Acceptable Use</h2>
  <p>You agree not to use ReplyMind to:</p>
  <ul>
    <li>Generate spam, unsolicited messages, or bulk automated emails</li>
    <li>Produce harassing, abusive, defamatory, or threatening content</li>
    <li>Create false, misleading, or deceptive communications</li>
    <li>Violate any applicable local, state, national, or international law</li>
    <li>Infringe on the intellectual property or privacy rights of others</li>
    <li>Attempt to reverse-engineer, decompile, or disassemble the extension</li>
    <li>Circumvent, disable, or interfere with security features of the Service</li>
    <li>Share, resell, or redistribute your account access to third parties</li>
    <li>Use the Service to process data subject to HIPAA, GLBA, or similar regulatory requirements without our written consent</li>
  </ul>
  <p>We reserve the right to suspend or terminate your access if we reasonably determine you are violating these rules.</p>

  <h2>10. Intellectual Property</h2>
  <p>All content, code, design, logos, trademarks, and other materials associated with ReplyMind are the intellectual property of TIGERBESTBRANDS LLC and are protected by applicable intellectual property laws.</p>
  <p>You may not copy, modify, distribute, sell, or lease any part of the ReplyMind extension, website, or services without our prior written consent.</p>
  <p><strong>Your content:</strong> You retain full ownership of any email or message content you provide to the Service for reply generation. We do not claim any ownership rights over your content. As described in our <a href="privacy.html">Privacy Policy</a>, your email and message content is processed in real-time and immediately discarded — it is never stored on our servers.</p>

  <h2>11. AI-Generated Content Disclaimer</h2>
  <p>ReplyMind uses artificial intelligence to generate reply suggestions. You acknowledge and agree that:</p>
  <ul>
    <li>AI-generated replies are <strong>suggestions only</strong> — they are not professional advice of any kind (legal, medical, financial, etc.)</li>
    <li>You are solely responsible for reviewing and approving any generated reply before sending</li>
    <li>We do not guarantee the accuracy, appropriateness, or completeness of AI-generated content</li>
    <li>Generated replies may occasionally contain errors, inaccuracies, or inappropriate suggestions</li>
    <li>You should not rely on AI-generated replies for critical, sensitive, or high-stakes communications without human review</li>
  </ul>

  <h2>12. Privacy</h2>
  <p>Your use of ReplyMind is also governed by our <a href="privacy.html">Privacy Policy</a>, which describes how we collect, use, store, and share your data. By using ReplyMind, you consent to the practices described in the Privacy Policy.</p>

  <h2>13. Availability and Modifications</h2>
  <p>We strive to maintain uninterrupted access to ReplyMind, but we do not guarantee that the Service will be available at all times. We may temporarily suspend the Service for maintenance, updates, or unforeseen circumstances.</p>
  <p>We reserve the right to modify, update, or discontinue any feature of the Service at any time. If we make material changes that negatively impact your paid subscription, we will provide reasonable notice and, where appropriate, a pro-rata refund.</p>

  <h2>14. Third-Party Services</h2>
  <p>ReplyMind integrates with third-party services including:</p>
  <ul>
    <li><strong>Google / Gmail:</strong> ReplyMind operates within the Gmail interface. Your use of Gmail is subject to Google's Terms of Service.</li>
    <li><strong>LinkedIn:</strong> ReplyMind operates within the LinkedIn messaging interface on paid plans. Your use of LinkedIn is subject to LinkedIn's User Agreement.</li>
    <li><strong>OpenAI:</strong> Reply generation is powered by OpenAI's API. OpenAI processes data under their own <a href="https://openai.com/policies/privacy-policy" target="_blank">Privacy Policy</a>.</li>
    <li><strong>Payment Processors:</strong> Payments are handled by third-party processors subject to their own terms and privacy policies.</li>
  </ul>
  <p>We are not responsible for the actions, content, or policies of any third-party services.</p>

  <h2>15. Limitation of Liability</h2>
  <p>To the maximum extent permitted by applicable law:</p>
  <ul>
    <li>ReplyMind is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory</li>
    <li>We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement</li>
    <li>In no event shall TIGERBESTBRANDS LLC, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service</li>
    <li>Our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim</li>
  </ul>

  <h2>16. Indemnification</h2>
  <p>You agree to indemnify, defend, and hold harmless TIGERBESTBRANDS LLC and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:</p>
  <ul>
    <li>Your use of the Service</li>
    <li>Your violation of these Terms</li>
    <li>Your violation of any third-party rights</li>
    <li>Any content you generate, send, or distribute using the Service</li>
  </ul>

  <h2>17. Termination</h2>
  <p>We may suspend or terminate your access to ReplyMind at any time, with or without notice, if you breach these Terms or engage in conduct that we reasonably determine is harmful to other users, us, or third parties.</p>
  <p>Upon termination:</p>
  <ul>
    <li>Your right to use the Service ceases immediately</li>
    <li>We may delete your account data in accordance with our Privacy Policy</li>
    <li>Sections that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will survive</li>
  </ul>

  <h2>18. Dispute Resolution</h2>
  <p>These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.</p>
  <p>Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wyoming, United States.</p>

  <h2>19. Severability</h2>
  <p>If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.</p>

  <h2>20. Entire Agreement</h2>
  <p>These Terms, together with our <a href="privacy.html">Privacy Policy</a> and <a href="refund.html">Refund Policy</a>, constitute the entire agreement between you and TIGERBESTBRANDS LLC regarding your use of ReplyMind, and supersede all prior agreements and understandings.</p>

  <h2>21. Changes to These Terms</h2>
  <p>We may update these Terms from time to time. We will notify users of material changes via the Chrome Web Store listing, our website, or by email. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of ReplyMind after changes constitutes acceptance of the updated Terms.</p>
